Company Registration in Hong Kong | Business Incorporation HK

Hong Kong is considered the financial center of the world. In recent time many entrepreneurs from across the globe have shown interest in establishing their business in Hong Kong. Many people are planning to set up new business ventures, however, there are many who set up branches for their already established business.

On the other hand, if you are planning to company registration in Hong Kong you must first decide the type of company you want to register. To incorporate a fresh company in Hong Kong the applicant is required to acquire a Certificate of Incorporation (COI) from the Companies Registry. Earlier, there were eight types of companies that can be registered in Hong Kong. But after the New Companies Ordinance was passed these regulations were streamlined. Now, following five type of companies can be registered in Hong Kong:

1. Private companies limited by shares
2. Public companies limited by shares
3. Companies limited by guarantee without a share capital
4. Private unlimited companies with a share capital
5. Public unlimited companies with a share capital

The minimum requirement to register a Private Company Limited by Shares 



In order to incorporate a private company limited by shares in Hong Kong the following are the minimum requirements that are to be met:

• It must have a minimum share capital of 1 Hong Kong Dollar.
• It must have at least one shareholder. A shareholder can either be an individual or a registered company.
• It must have at least one director. Director must be an individual and shareholder and director can be the same person. The person can either be a resident of Hong Kong as well as a foreign citizen.
• The proposed company’s registered office must be located in Hong Kong. this is to make sure that the company is able to receive notices and mails issued by the authorities.
• A Company secretary resident in Hong Kong must be hired with a view to liaison with the Hong Kong authorities for registration procedure.

  • Copy of passport of all the proposed shareholders and directors
  • Copy of Address proof of all the proposed shareholders and directors
  • Proposed names for the company
  • Share capital

The procedure of Company Incorporation in Hong Kong


STEP 1 – Before preceding any requirement of company incorporation the applicant must look for availability of the desired name and file for name reservation. One can apply for name reservation with three prospective names for the proposed company.
STEP 2 – After name reservation part is completed, next step is to file incorporation application. Incorporation application can be filed in the following ways;

1. Submitting an online application on the e-Registry portal, or
2. The mobile application can also be submitted through CR e-filing Mobile App, or
3. One can also submit a hard copy of application along with copies of documents at Company Registry along with the prescribed fees.
