Detailed steps to incorporate a company in Bangalore, India:

A company can be incorporated by the following 5 simple steps:

1. Choose a unique name and obtain approval through the RUN application, steps are as given below:

1. Login in MCA Portal-Click on RUN (Unique)-give proposed (Maximum 2 Names as per preference)-pay fees of Rs 1000/-.

• That the fees of Rs 1000/- are valid for only one time only, irrespective of approval or rejection.
• Reserved name shall be valid for 20 days from the date of approval of Name.
• Reserved name shall be valid for 60 days in case of allotment of a name for existing Company (Change of Name).

2. Obtain DSC (Digital Signature Certificate) for the company for attaching a signature to documents, forms.
3. Filing of forms to incorporate the company through SPICe. With the use of this single form SPICe, you can apply DIN for Directors, PAN and TAN for the company.

3.1 Fill in SPICE INC 32 form:

This single Form can be used for the following purpose altogether:

• Name availability-RUN application
• DIN application for Directors (Maximum 3 Directors)
• ROC registration
• PAN/TAN application of the company.

Apart from the above information that can be filled pertaining to company registration through SPICE INC 32 are the following:

Subscriber details: -Maximum 7. However, in the case of more than 7 directors physical signed copy of MOA and AOA.

Directors details: -Maximum 20.

DIN application: -Maximum 3.

3. 2 Attachments of SPICE INC 32:

INC-9 Affidavit / declaration by first subscriber(s) and director(s) (on duly authorized Stamp Papers)

• DIR-2 declaration from first Directors along with Copy of Proof of Identity and residential address.
• NOC from the owner of the property.
• Proofs of Office address (Conveyance/ Lease deed! / Rent Agreement etc. along with rent receipts);
• Copy of the utility bills (not older than two months)
• All the Subscribers should have Digital Signature

4. Download MOA and AOA from MCA website and draft it for the company with separate forms SPICe–33 MOA and SPICe–34 AOA. Fill and submit the forms along with Digital Signature in SPICe–32.

4. 1 MOA and AOA

• Fill all the information in the forms as per requirement of Table A to J of Schedule I.
• Affix DSC of Subscriber.

4. 2 PAN and TAN

Link to find out of Area Code to file PAN & TAN are given in Help Kit of SPICE Form. PAN/TAN will be generated with the incorporation Registration.

5. After verification by ROC department, if everything is ok accordingly; then you will get mail from MCA on company registration certificate otherwise get a notice with some issue to resolve.
