What are the minimum requirements for private company registration in Ahmedabad?
1.The minimum paid-up capital at the time of registration of the Private Limited Company: Rs.2/-
2.Minimum no. of directors for Private Limited Company: 2 (Two)
3.Minimum no. of subscribers for Private Limited Company: 2 (Two)
What is the provision for company registration according to the Companies’ Act 2013?
According to Section 7- Incorporation of company, following information and documents are required to be filed with the Registrar within whose jurisdiction the proposed registered office of a company will be situated:
1.Memorandum of Association, which shall state the basics of the company example name, state of registered address, object etc. and Articles of Association, which shall contain the regulations for the management of the company
2.A declaration as per the prescribed form by
a.an advocate, a chartered accountant or company secretary, who is a part of the formation of the company, and
b.a person named in the articles as a director, manager or secretary of the company,
Stating that all the requirements of the Act and prescribed rules regarding registration and that incidental have been duly complied with.
3.An affidavit from each of the subscribers to the memorandum and from persons named as the first directors in the AoA stating that there stands no conviction for any offense relating to promotion, formation or management of any company. It also must be stated that the individual has not been found guilty of any fraud, breach of duty or misfeasance during the preceding five years as under the present or any previous company law. The affidavit should also declare that the documents submitted to the Registrar for the purpose of registration of the company are correct and no false information has been provided;
4.The details as to the registered address should be provided, if the registered office is yet to be established, then the address of correspondence;
5.The details of every subscriber to the memorandum must be provided- full name, residential address, nationality, and proof of identity.
if the subscriber is a corporate body, then the details of the persons named in the articles as the first directors of the company (full names, DIN, residential address, nationality etc with proof of identity);
6.If the first directors of the company named in AoA have interest in other companies or firms, then details of such must be provided. Also, their consent to act as directors of the company in prescribed form has to be submitted.
The Registrar upon submission of the documents and information will register them in the register issue a certificate of incorporation in the prescribed format. Thus the proposed company stands incorporated as per the Act. The Registrar will also allot a Corporate Identity Number (CIN) to the company in the certificate. This shall provide the company with a distinct identity.
What is the stamp duty applicable in Ahmedabad?
Stamp duty to be paid at the time of company registration in Ahmedabad shall be as per that applicable in the state of Gujarat.
1.For companies having share capital-
a.MoA- Rs. 100
b.AoA- 0.5% of authorized capital subject to a maximum of 5 lakhs
2.For companies not having a share capital,
a.MoA- Rs. 100
b.AoA- Rs. 1000
