In three ways an Entity can be established in Hong Kong:
- By setting up own business as Company/ Partnership/ Sole Proprietorship;
- By setting a Branch Office, Subsidiary or Representative office;
- By acquiring a “Shelf Company;
- Director: Minimum one and maximum unlimited and at least one must be a natural person who can be of any nationality and need not be resident in Hong Kong.
- Shareholders: Minimum one and maximum of 50 shareholders.
- Company Secretary: In case of an individual, Company secretary must be residence of Hong Kong; or if a body corporate, then registered office or a place of business must be in Hong Kong.
- Share Capital: No requirement of minimum paid up capital.
- Registered Office: Registered address of the company should be in Hong Kong.
- Valid Passport is essential for a non-resident.
To Set up a new Limited Company:
- Decide the type of company (either limited by shares or guarantee) and the appropriate name as per their government criteria.
- Apply online or by submitting the application in physical copy in Form NNC1 (for limited by shares) or in form NNC1G (For company limited by guarantee) along with copy of AoA with Registrar along with prescribed fee.
- If application is applied electronically then, COI will be issued within one hour whereas, in case of submission in hard copy COI will be issued within 4 working days.
- Application for registration must be filled in Form NN1(hard copy Form) within one month of identification of business place along with certified copies of AoA, MoA, and Certificate of Incorporation etc with prescribed fee to Registrar and appropriate notice to Business Registration office.
- Certificate of Registration shall be issued normally within 14 days.

- Within 14 days of incorporating a Company in Hong Kong (i.e. after the getting the certificate of Incorporation) the following documents must be submitted to the Companies Registry:
- Notification of director and Secretary appointment and registered office address;
- Consent to act as a director;
- Opening of a current bank account;
- Registration within one month of incorporation with the Inland Revenue Department;
- Apply business license, if required as per the business activity;
